Herald Switches Support To Unconditional Tango Offer
By Alex Wilson & Bill Lindsay Of DOW JONES NEWSWIRES
SYDNEY (Dow Jones)–Herald Resources Ltd.''s (HER.AU) directors recommended its shareholders accept a A$553.6 million takeover bid from the Tango consortium after it was declared unconditional, withdrawing their support for the rival offer from Indonesia''s PT Bumi Resources (BUMI.JK).
Earlier Friday, the rival Tango consortium, made up of Indonesia''s Aneka Tambang (ANTM.JK), or Antam, and China''s Shenzhen Zhongjin Lingnan Nonfemet Co. (000060.SZ), waived its 50.1% minimum acceptance condition on its A$2.80 per share cash offer for the base metals developer, meaning shareholders will be paid within 12 days of their acceptance. "Herald''s Directors unanimously recommend shareholders accept the unconditional Tango offer in the absence of a superior proposal and have done so for their own shares," said Herald in a statement, noting the Bumi offer is still subject to a 50.1% acceptance threshold.
Herald also noted that with its shares, last up one cent at A$2.94, still trading above the offer price, some shareholders may consider selling their shares on-market.
However Bumi, which is also offering A$2.80 cash a share, urged shareholders in a statement to take no action while it considers its response, suggesting it may consider further sweetening its offer.
The parties have been engaged in a six-month takeover battle for the Western Australia based miner, and Bumi, which initially offered A$2.25 per share, warned that shareholders who accept the Tango offer will not be able to subsequently withdraw that acceptance.
Tango said in a statement shareholders should accept its offer before the closing date of July 1 and should not accept the offer being made by Bumi through its Calipso bid vehicle. "Tango notes that the competing offer still remains subject to a minimum acceptance condition of 50.1% which does not provide Herald shareholders with a certain outcome," Tango said in a statement. -By Alex Wilson & Bill Lindsay, Dow Jones Newswires; firstname.lastname@example.org

aneh ya???tawar menawar akuisisi memakan waktu sampai 6bln masih belum tuntas!!!wajarkah???di dunia M&A
Ini saham sekarang masuk urutan ke-17 Market Cap-nya. Lumayan masih 20 besar.
